1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "Client" or "you") and SigSoog Leadership Coaching, operated by Ayelet Boydell-Barnett ("Coach," "we," "us," or "our"), concerning your access to and use of our coaching services and website at sigsoog.com (the "Site" and "Services").

By engaging with our coaching services, accessing our website, or completing any registration or booking process, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU MUST NOT USE OUR SERVICES.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site with an updated "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

2. Services Description

SigSoog Leadership Coaching provides neuroscience-informed, whole-life leadership coaching services for executives and senior leaders. Our services include but are not limited to:

One-on-One Executive Coaching: Individual coaching sessions tailored to your leadership development goals

Corporate Workshops: Team-based workshops and group sessions

Leadership Programs: Structured programs including "From Intention to Impact: 2026 Leadership Journey"

Accountability Packages: Ongoing support and accountability structures

Digital Resources: Reflection guides, tools, and other coaching materials

Group Coaching Circles: Peer learning and development experiences

2.1 Nature of Coaching Relationship

Coaching is a professional partnership designed to help you achieve your personal and professional goals. The Coach will provide guidance, support, and accountability, but the Client is solely responsible for the decisions and actions taken as a result of coaching.

2.2 Coaching is Not Therapy or Medical Advice

Coaching services are not a substitute for professional mental health care, medical advice, diagnosis, or treatment. Coaching addresses goal-setting, performance, and behavioral change, not clinical mental health conditions. If you require therapeutic or medical services, we strongly recommend consulting with a qualified healthcare professional. The Coach is not responsible for diagnosing, treating, or curing any mental health condition.

3. Client Eligibility and Representations

3.1 Age and Capacity

You must be at least 18 years of age to use our Services. By agreeing to these Terms, you represent and warrant that:

You are at least 18 years old or have reached the age of majority in your jurisdiction

You have the legal capacity to enter into binding contracts

All information you provide is accurate, current, and complete

You will maintain the accuracy of such information throughout our coaching relationship

3.2 Organizational Clients

If you are engaging our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and all references to "you" shall refer to both you individually and the organization.

4. Booking and Scheduling

4.1 Session Scheduling

Coaching sessions are scheduled by mutual agreement between you and the Coach. Sessions are typically conducted via video conference (Zoom or similar platform), telephone, or in-person by arrangement.

4.2 Rescheduling Policy

Life happens, and we understand that schedules change. To ensure we can serve all clients effectively:

At least 48 hours' notice is required to reschedule or cancel a session without penalty

Cancellations or rescheduling requests made with less than 48 hours' notice will result in forfeiture of that session or a rescheduling fee equal to 50% of the session cost

No-shows (failure to attend a scheduled session without prior notice) will result in forfeiture of the full session fee

Emergency situations will be considered on a case-by-case basis with appropriate documentation

4.3 Coach Cancellations

If the Coach needs to cancel or reschedule a session, you will be notified as soon as possible and offered alternative times. You will not be charged for sessions cancelled by the Coach.

5. Payment Terms

5.1 Fees and Payment Methods

All fees are quoted in Canadian Dollars (CAD) unless otherwise specified

Payment methods accepted include: credit card, PayPal, electronic bank transfer, and wire transfer

Payment is required in advance of services unless otherwise agreed in writing

For ongoing coaching engagements, payment plans may be available and will be detailed in your specific coaching agreement

5.2 Package and Program Fees

Coaching packages and programs require payment as outlined in your specific agreement

Multi-session packages must be used within the time frame specified (typically 3-6 months from purchase date)

Package extensions may be granted at the Coach's discretion with appropriate notice and may incur an extension fee

5.3 Late Payment

Late payments may result in: - Suspension of coaching services until payment is received - Late fees of $50 CAD if payment is more than 7 days overdue - Cancellation of the coaching agreement if payment is more than 30 days overdue

6. Refund Policy

6.1 Standard Refund Policy

We are committed to your satisfaction and success. Our refund policy is as follows:

7-Day Full Refund Period: - For coaching packages and programs, you may request a full refund within 7 calendar days of purchase, provided you have not completed more than one (1) coaching session or accessed more than 20% of program materials

Partial Refund (Days 8-30): - Between days 8 and 30 of purchase, a 50% refund may be granted if fewer than 50% of sessions have been completed or less than 50% of program content has been accessed

After 30 Days: - No refunds will be provided after 30 days from the date of purchase, regardless of usage

Digital Products: - All sales of digital products (reflection guides, tools, etc.) are final once downloaded or accessed - A refund may be granted within 7 days of purchase if the product has not been downloaded or accessed

6.2 Exceptional Circumstances

Refund requests due to unforeseen circumstances (e.g., serious illness, family emergency) will be evaluated individually. Supporting documentation may be required. Requests should be submitted in writing to hello@sigsoog.com.

6.3 Refund Processing

Approved refunds will be processed within 14 business days using the original payment method. Processing fees and transaction costs are non-refundable.

7. Confidentiality

7.1 Coach's Commitment

The Coach is committed to maintaining the confidentiality of all information shared during coaching sessions and communications. Information will not be disclosed to third parties without your express written consent, except as required by law or in cases where:

There is imminent risk of harm to yourself or others

Child abuse or elder abuse is suspected

A court order or legal obligation requires disclosure

You provide written authorization for specific disclosures

7.2 Corporate/Organizational Coaching

When coaching is arranged through an organization: - The content of coaching conversations remains confidential between Coach and Client - The Coach may provide progress updates or summary reports to the sponsoring organization with the Client's knowledge and consent - Specific arrangements regarding confidentiality and reporting will be documented in a separate agreement

7.3 Client Confidentiality Obligations

You agree to maintain confidentiality regarding: - Any proprietary coaching methodologies, tools, or materials provided - Identities and information about other clients if participating in group coaching - Any confidential business information about the Coach or the coaching practice

8. Intellectual Property

8.1 Ownership of Materials

All coaching materials, tools, frameworks, methodologies, content, and resources provided by SigSoog Leadership Coaching (including but not limited to reflection guides, worksheets, assessments, and program materials) are the intellectual property of the Coach and are protected by copyright laws.

8.2 License Grant

You are granted a limited, non-exclusive, non-transferable license to use coaching materials solely for your personal development purposes. You may not:

Reproduce, distribute, or sell any coaching materials

Use materials for commercial purposes

Modify or create derivative works

Share materials with others outside of the agreed coaching relationship

Remove or alter any copyright or proprietary notices

8.3 Testimonials and Marketing

You agree that the Coach may: - List your name and organization (with your consent) as a client for reference purposes - Request testimonials and feedback about your coaching experience - Use anonymized examples from coaching engagements for training and educational purposes

You may withdraw consent for marketing use at any time by providing written notice.

9. Code of Conduct and Client Responsibilities

9.1 Client Commitment

To maximize the value of coaching, clients are expected to:

Arrive prepared for scheduled sessions

Complete agreed-upon actions and assignments between sessions

Communicate openly and honestly with the Coach

Take full responsibility for decisions and actions

Provide timely feedback about the coaching process

Respect the Coach's time and professional boundaries

9.2 Prohibited Conduct

You agree not to:

Engage in any form of harassment, abuse, or discrimination toward the Coach

Make false, defamatory, or misleading statements about the Coach or Services

Attempt to circumvent payment obligations

Share login credentials or access to digital resources with unauthorized parties

Use coaching services for any unlawful purpose

9.3 Termination for Cause

The Coach reserves the right to terminate the coaching relationship immediately if you:

Violate these Terms or any applicable laws

Engage in conduct that is harmful, threatening, or inappropriate

Fail to make required payments after appropriate notice

Demonstrate unwillingness to engage genuinely in the coaching process

10. Disclaimers and Limitations of Liability

10.1 No Guaranteed Results

COACHING DOES NOT GUARANTEE SPECIFIC OUTCOMES. While the Coach will provide professional support and guidance, success depends on many factors including your commitment, circumstances, and actions. The Coach makes no representations or warranties about the results you may achieve.

10.2 Services Provided "As Is"

THE SERVICES AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COACH DISCLAIMS ALL WARRANTIES, INCLUDING:

Warranties of merchantability or fitness for a particular purpose

Warranties regarding uninterrupted or error-free service

Warranties that the Services will meet your specific requirements

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COACH SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, or business opportunities

Personal injury or property damage arising from use of the Services

Any damages exceeding the amount paid for Services in the 12 months preceding the claim

This limitation applies whether the alleged liability is based on contract, tort, negligence, or any other basis, even if the Coach has been advised of the possibility of such damages.

10.4 Jurisdiction-Specific Rights

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, and you may have additional rights.

11. Technology and Third-Party Services

11.1 Video Conferencing and Communication Platforms

Coaching sessions may use third-party platforms (such as Zoom, Microsoft Teams, or Google Meet). Use of these platforms is subject to their respective terms of service and privacy policies. The Coach is not responsible for:

Technical difficulties or interruptions in third-party services

Security or privacy breaches of third-party platforms

Loss of session recordings or materials due to platform issues

11.2 Payment Processing

Payment processing is handled by third-party services (PayPal, Stripe, etc.). Your payment information is subject to the privacy policies and terms of service of these providers. The Coach does not store complete credit card or banking information.

11.3 Email and Electronic Communications

Email and electronic communications are not guaranteed to be secure. Do not send highly sensitive personal information via email unless encrypted. The Coach is not liable for unauthorized access to communications sent via standard email.

12. Privacy and Data Protection

12.1 Personal Information

The Coach collects and processes personal information in accordance with applicable privacy laws including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada.

Information collected may include: - Name, contact information, and professional details - Session notes and coaching progress records - Payment and billing information - Communications and correspondence

12.2 Use of Information

Personal information is used solely for: - Providing and improving coaching services - Communicating about sessions and programs - Processing payments - Complying with legal obligations

12.3 Data Security

The Coach implements reasonable security measures to protect your information, including: - Secure storage of session notes and client records - Encrypted communication channels where available - Limited access to personal information - Regular review and updating of security practices

12.4 Data Retention

Client records will be retained for a minimum of 7 years as required by professional standards and applicable law, after which they will be securely destroyed.

12.5 Your Rights

You have the right to: - Access your personal information - Request corrections to inaccurate information - Request deletion of your data (subject to legal retention requirements) - Withdraw consent for marketing communications

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Ontario, and you consent to the jurisdiction of such courts.

13.2 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiations.

The parties agree to: 1. Notify the other party in writing of the dispute 2. Engage in at least one face-to-face or video meeting to discuss resolution 3. Participate in mediation if direct negotiations are unsuccessful

13.3 Arbitration

If informal resolution and mediation fail, any remaining dispute shall be resolved through binding arbitration administered by the ADR Institute of Canada or a mutually agreed arbitrator, in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Toronto, Ontario.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any written coaching agreement you sign, constitute the entire agreement between you and the Coach regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

14.3 Waiver

The failure of the Coach to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without the Coach's prior written consent. The Coach may assign these Terms without restriction.

14.5 Independent Contractor

The Coach is an independent contractor, and nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

14.6 Force Majeure

The Coach shall not be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, or technical failures.

14.7 Survival

Provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, limitations of liability, and dispute resolution) shall survive termination of the coaching relationship.

15. Professional Standards and Ethics

15.1 Coaching Standards

The Coach adheres to the standards and ethics of the International Coach Federation (ICF) and maintains PCC (Professional Certified Coach) certification. The Coach commits to:

Ongoing professional development

Ethical practice in accordance with ICF Core Competencies

Respect for client autonomy and dignity

Cultural sensitivity and awareness

15.2 Conflicts of Interest

The Coach will disclose any potential conflicts of interest. If a significant conflict arises that cannot be resolved, the Coach will provide referrals to other qualified professionals.

16. Updates and Amendments

The Coach reserves the right to update these Terms at any time. Material changes will be communicated via:

Email notification to active clients

Prominent notice on the website

Updated "Last Updated" date at the top of this document

Your continued use of Services after changes become effective constitutes acceptance of the modified Terms.
